The National Vehicle Leasing Association regrets the passing of David Russell, 47, who recently died while on vacation in Charlotte, N.C.

"Originally from Long Island, N.Y., Russell was a longtime member of the NVLA. He often attended chapter meetings in New York and was working to reestablish the Florida chapter this year.

Russell formed Delray Beach, Fla.-based Lease Acceptance Corp. about four years ago.

Friends say Russell loved boating. He held a captain’s license for more than 20 years and spent a great deal of time on the waters of south Florida with his family."

LEAF to close former Pacific Capital location

It is not known at this time the employment status of 25 plus employees from the announcement by LEAF Corporation of the closing of LEAF Third Party Funding in Southern California (formerly Pacific Capital Bank Leasing, Santa Barbara Leasing,) headed by Paul Menzel, CLP, 2006 Leasing News Person of the Year, including his long time loyal staff. No one is talking right now to Leasing News, referring everything to a press release that was aimed at announcing the office expansion in Columbia, South Carolina to in a 20,000 square foot facility to house 150 employees “in a consolidation for all third party originations.”

Dwight Galloway, former president of NetBank Business Finance and now LEAF Specialty Finance “was promoted and will run the operation,” the press release said. He is pictured above yelling, “Geronimo!”

“Although combining operations is the right thing to do from an efficiency standpoint to better serve this market segment, it is personally very difficult to close our Santa Barbara office, said Crit DeMent, chairman and CEO of LEAF Financial Corporation in the press release spin.

“The very talented employees, while only a small percent of our overall staff, have been a big part of LEAF’s growth and success over the past year.

“The opening of our new facility and expansion of our operations in Columbia demonstrates our commitment to the indirect market. While several financial institutions have abandoned this segment in the past several months, LEAF continues to be committed to supporting our valued partners.”

Contrary to DeMent’s opinion, strange as it lets a group of talented people go, but in a typical company press release spin on the subject, “brags” that they are going against the trend and “supporting’ their valuable partners ( who are they? the brokers who Pacific Capital developed.) As to the commitment to the small ticket marketplace, the only major financial institution to abandon this marketplace has been Irwin Commercial Finance, who sold their USA unit to improve liquidity. Main Street Bank purchased Studebaker-Worthington, whose parent State Bancorp was also having liquidity issues. There have been many local and regional banks entering the small ticket market, including the announcement of $200 million closing at Varilease in today’s edition as well as the former president of Marlin Business Services, Gary Shivers, who announced in February he was getting back into the fray when his non-compete entered. Even the companies LEAF recently purchased were doing very well in the small ticket marketplace. Who is DeMent trying to fool?

There is certainly more in this story and perhaps those who attend the leasing meetings and conferences ahead will learn what really is going on with LEAF. The press release is really a poor band aid to the story.

In the company press release it stated:

“The consolidation will not affect any of the existing program or transactional commitments currently supported through the Santa Barbara office, and LEAF’s third party originators will be contacted individually to insure a seamless transition. Santa Barbara will continue to accept new applications and process business through the transition period which is targeted for completion by early September.”

Doesn’t look like good news for existing employees as LEAF continues to buy its way into the leasing marketplace. Brokers are looking for “C” and “D” sources. There are plenty of “A” and “B” around.
Galloway wants good paper…

There also are questions about a 150 employee facility. Readers will see that when LEAF bought NetBank Business Finance, the company had 80 employees. There was some consolidation. Alco all were let go, changes at the other companies and with the elimination of the Santa Barbara operation, the count is below 100, so plans for a 150 employee solely third person originations may be a goal plan, unless direct and vendor sales will also be located here. Rates will have to be lowered by LEAF to attract more business, or credit criteria.

More importantly his parent company has got to be doing a lot better to support the leasing operations.

LEAF Corporation is a subsidiary of Resource America (REXI) whose financial release on August 16 showed an $8 million loss for its third fiscal quarter of June 31, 2008 quarter and December 31, 2007 year-end showed a $11 million loss. It has many entities and means to offset both assets and debts as the company specializes in this type of “management.”

The problems with REXI appear not be with Resource America. In the June 31, 2008 statement filing Resource America noted leasing revenues increased and their use for their own liquidity was of major importance ( the following is directly from their statement to the SEC and you can see how the fees and earnings are passed internally around:)

  1. a $4.6 million (108%) and $29.4 million (267%) increase, respectively, in LEAF commercial finance revenues primarily as a result of the NetBank assets acquired and the growth in lease originations. In January and April 2008, we sold 49% and 51%, respectively, of the NetBank portfolio to LEAF Fund III. As a result of these sales, our finance revenues and interest expense will decrease significantly; however, we will earn ongoing fund asset management fees;
  2. Merit Capital Advance, or Merit, provides small businesses through a credit card receipt advance program. For the three and nine months ended June 30, 2008, Merit posted revenues of $1.2 million and $5.5 million. No revenues were recorded for the nine months ended June 30, 2007.
  3. a $230,000 (5%) and $9.5 million (130%) increase, respectively, in asset acquisition fees resulting from the increase in leases sold. Sales of leases increased by $148.0 million (56%) to $409.9 million and $775.5 million (193%) to $1.2 billion for the three and nine months ended June 30, 2008, respectively, principally related to commercial assets sold to our investment entities as a result of the NetBank and Dolphin Capital Corp. portfolio acquisitions;
  4. a $2.0 million (63%) and $5.4 million (62%) increase, respectively, in fund management fees resulting from the $561.0 million increase in assets under management; and
  5. a $973,000 (325%) and a $4.3 million (279%) increase, respectively, in other income, primarily reflecting net gains on equipment finance dispositions, which typically vary widely from period to period, but increased as a result of holding the NetBank acquired lease portfolio on our books.

Costs and Expenses - Three and Nine Months Ended June 30, 2008 as Compared to the Three and Nine Months Ended June 30, 2007

Costs and expenses from our commercial finance operations increased $5.6 million (102%) and $19.1 million (141%), respectively. We attribute this increase primarily to the following:

  1. an increase of $5.1 million (134%) and $14.4 million (146%) in wages and benefit costs, respectively. The number of full-time employees increased to 444 as of June 30, 2008 from 237 as of June 30, 2007 due to our recent acquisitions and to support our expanding operations; and
  2. an increase of $419,000 (26%) and $4.8 million (128%) in operating expenses, respectively, as a result of our increase in origination capabilities, primarily due to our recent acquisitions.
  3. Revenues - Three and Nine Months Ended June 30, 2008 as Compared to the Three and Nine Months Ended June 30, 2007
  4. Revenues increased $9.0 million (70%) and $54.0 million (190%) for the three and nine months ended June 30, 2008, respectively, as compared to the prior year period. We attribute these increases to the following:
  5. a $4.6 million (108%) and $29.4 million (267%) increase, respectively, in LEAF commercial finance revenues primarily as a result of the NetBank assets acquired and the growth in lease originations. Originations of new equipment financing for the three and nine months ended June 30, 2008 were $147.9 million and $1.0 billion, respectively, as compared to $396.9 million and $655.9 million for the three and nine months ended June 30, 2007, respectively, a decrease of $249.0 million (63%) and an increase of $391.0 million (60%), respectively. We have not yet commenced marketing LEAF Equipment Finance Fund 4, L.P. to investors. LEAF Fund III closed its offering in April 2008. Our growth for the nine months ended June 30, 2008 was driven by our first quarter fiscal 2008 acquisitions of the net business assets of Dolphin Capital Corp and NetBank Business Finance, or NetBank, our continued growth in new and existing vendor programs, the introduction of new commercial finance products and the expansion of our sales staff. As of June 30, 2008, we managed approximately 96,000 leases and notes that had an average original finance value of $24,000 with an average term of 50 months.

In November 2007, we also acquired a $412.5 million portfolio, at a discount, comprised of over 10,000 leases and small business loans originated by NetBank Business Finance, the equipment leasing division of NetBank, which was being operated in receivership by the Federal Deposit Insurance Corporation, or FDIC. In addition, we hired approximately 70 of the former NetBank employees in Columbia, South Carolina. These employees have further expanded our third party funding business unit which we established with our June 2007 acquisition of the leasing division of PCB. Financing for this acquisition was provided principally by Morgan Stanley Bank, or Morgan Stanley. We completed the sale of the NetBank portfolio to LEAF Fund III in April 2008. Until then, we carried the leases and loans and related debt on our consolidated balance sheets, thereby increasing our investment in commercial finance assets, borrowings, finance revenues, interest expense and provision for credit losses during that period of time.

Varilease Closes $200 Million Loan Facility

"The company has closed on a new $200,000,000 loan facility that provides for both debt or equity financing for lease, loan, and portfolio acquisitions as well as financing for corporate acquisitions," he said. “Repayment terms of the facility provide for interest payments only for the first years with subsequent principal reduction commencing, at the Company's option, no earlier than mid 2010 and no later than mid 2013.

“Under he terms of the facility the funds are immediately available," he added.

According to recent articles, Mr. VanHellmont at the time owned 51% controlling interest of the investor group which owns one of the largest finance and lease servicing companies: Portfolio Financial Servicing Company, Portland, Oregon.

ePlus IT lease/finance revenues down

ePlus reports revenues during the Quarter fell 23.6% to $182.3 million from $238.7 million during the three months ended June 30, 2007. Net earnings for the Quarter decreased 26.3% to $3.7 million from $5.0 million the Prior Year’s Quarter.

The company is “provider of technology solutions. ePlus enables organizations to optimize their IT infrastructure and supply chain processes by delivering world-class IT products from top manufacturers, professional services, including flexible lease financing, proprietary software, and patented business methods...” including one of the original providers of “on line aggregate leasing financing.”

ePlus reported,” this decrease in revenue is primarily attributed to the economic downturn which reduced purchases by the many of the Company’s largest customers. The cost of sales, product and services decreased 22.4% to $143.7 million as compared to $185.2 million during the Prior Year’s Quarter. The gross margin on sales of product and services increased to 13.3% from 10.3% the Prior Year’s Quarter. Gross margin was affected by customers’ investment in technology equipment, the mix and volume of products sold and changes in manufacturers’ incentives.

Lease revenues decreased 39.3% to $11.6 million for the Quarter, as compared to $19.1 million the Prior Year’s Quarter. This decrease is due to a smaller number of leases in our operating and direct financing lease portfolio, as well as a 74.2% decrease in sales of leased assets to lessees from $9.0 million in the Prior Year’s Quarter to $2.3 million during the Quarter. Of this decrease, approximately $7.7 million was attributed to sales to a customer during the Prior Year’s Quarter. Sales of leased equipment declined 85.3% to $1.3 million in the Quarter. Direct lease costs decreased 37.0% to $3.8 million during the Quarter. The largest component of direct lease costs is depreciation expense for operating lease equipment, and the investment in operating leases decreased 46.3% to $30.5 million at June 30, 2008 as compared to June 30, 2007.

Founded in 1990, ePlus web site states it has more than 650 associates in 30+ offices serving more than 2,500 customers. ePlus has had it difficulties in the past, including the threat of being delised from NASDAQ on July 20, 2007. On July 31, 2008, the company announced that its board of directors has authorized a share repurchase plan commencing no earlier than August 4, 2008.

Software leasing and the UCC

I have been asked on many occasions “how do I establish a lien on software to protect myself?” So with the help of Ken Weinberg of Marks and Weinberg, P.C. from Birmingham we researched the question and found that filing a UCC-1 lien is of little value because “software” is a general intangible which cannot technically be leased under the UCC.

Definition of Lease (Section 2A-103(1)(j))

"Lease" means a transfer of the right to possession and use of goods for a term in return for consideration, but a sale, including a sale on approval or a sale or return, or retention or creation of a security interest is not a lease. Unless the context clearly indicates otherwise, the term includes a sublease.

Definitions of Goods (Section 2A-103(1)(h) AND Section 9-102(a)(44)).

Article 2A defines goods as: “[A]ll things that are movable at the time of identification to the lease contract, or are fixtures (Section 7-2A-309), but the term does not include money, documents, instruments, accounts, chattel paper, general intangibles, or minerals or the like, including oil and gas, before extraction. The term also includes the unborn young of animals.”

Article 9 defines goods as: “[A]ll things that are movable when a security interest attaches. The term includes (i) fixtures, (ii) standing timber that is to be cut and removed under a conveyance or contract for sale, to the extent such standing timber and cutting rights with respect thereto are considered as chattels under Section 35-4-363, (iii) the unborn young of animals, (iv) crops grown, growing, or to be grown, even if the crops are produced on trees, vines, or bushes, and (v) manufactured homes. The term also includes a computer program embedded in goods and any supporting information provided in connection with a transaction relating to the program if (i) the program is associated with the goods in such a manner that it customarily is considered part of the goods, or (ii) by becoming the owner of the goods, a person acquires a right to use the program in connection with the goods. The term does not include a computer program embedded in goods that consist solely of the medium in which the program is embedded. The term also does not include accounts, chattel paper, commercial tort claims, deposit accounts, documents, general intangibles, instruments, investment property, letter-of-credit rights, letters of credit, money, or oil, gas, or other minerals before extraction

Definition of General Intangible (Section 9-102(a)(42))

Article 2A refers to the Article 9 definition, which defines “General Intangibles” as “any personal property, including things in action, other than accounts, chattel paper, commercial tort claims, deposit accounts, documents, goods, instruments, investment property, letter-of-credit rights, letters of credit, money, and oil, gas, or other minerals before extraction. The term includes payment intangibles and software.”

ANTI- ASSIGNMENT LANGUAGE

The value of a security interest in software, as a general intangible, is of somewhat dubious value since almost all license agreements contain language which forbids the licensee (i.e. the lessee or borrower) from pledging its rights under the license agreement. These provisions are commonly referred to as "anti-assignment provisions."

Section 9-408 of the UCC invalidates such anti-assignment provisions, thereby making the grant of a security interest technically valid. However, the very same section of the UCC also states that any such security interest is not enforceable against the licensor. The relevant language is below.

As a practical matter, this security interest therefore is of little financial value to the lessor. There could be a claim in money resulting from the sale or other disposition of the software as “Proceeds” of the security interest.

Except from 9-408 (note that the licensor is the “account debtor”)

“Limitation on ineffectiveness under subsections (a) and (c). To the extent that a term in a promissory note or in an agreement between an account debtor and a debtor which relates to a health-care-insurance receivable or general intangible or a rule of law, statute, or regulation described in subsection (c) would be effective under law other than this article but is ineffective under subsection (a) or (c), the creation, attachment, or perfection of a security interest in the promissory note, health-care-insurance receivable, or general intangible:

(1) is not enforceable against the person obligated on the promissory note or the account debtor;

(2) does not impose a duty or obligation on the person obligated on the promissory note or the account debtor;

(3) does not require the person obligated on the promissory note or the account debtor to recognize the security interest, pay or render performance to the secured party, or accept payment or performance from the secured party;

(4) does not entitle the secured party to use or assign the debtor's rights under the promissory note, health-care-insurance receivable, or general intangible, including any related information or materials furnished to the debtor in the transaction giving rise to the promissory note, health-care-insurance receivable, or general intangible;

(5) does not entitle the secured party to use, assign, possess, or have access to any trade secrets or confidential information of the person obligated on the promissory note or the account debtor; and

(6) does not entitle the secured party to enforce the security interest in the promissory note, health-care-insurance receivable, or general intangible.

(e) Section prevails over inconsistent law. This section prevails over any inconsistent provision of an existing or future statute, rule, or regulation of this State unless the provision is contained in a statute of this State, refers expressly to this section, and states that the provision prevails over this section.”

(I am very surprised that a correction is being asked as I thought the board had considered the issue of "Trigger Data" to be very unpopular, as I know it is with Rosanne Wilson, CLP as well past president Brian Montgomery, who we printed his email:

(In addition on July 23rd, Leasing News reported “Jack Harvey, CLP, President/CEO, Enterprise Financial Solutions, and President, National Association of Equipment Leasing Brokers (NAELB) told Leasing News that NAELB is going to take an official position on the use of Trigger Leads: ‘We are discussing our position as a Board as we speak and will let you know when we are ready to release. Thank you for your efforts in investigating this very important issue to our industry.’

(Additionally I was told by several board members that a group from the board is looking into "Trigger Data.” To me a committee can be "formal" or "informal," so in three dot column that is why
I referred to it as a committee.

(As to stating a decision was made, I expressly did not state that, specifically using the word "may":
"Guess which of the three belongs to NAELB and who may be asked to stop the practice or leave the association...”

“Regarding the quote you contribute to me, please let me clarify. I made no comment as to the merger being a “done deal”. Although I am on the UAEL Board, I am not a member of the task force. Both EAEL and UAEL task forces are doing a good job of updating their members. In fact the UAEL website will soon add another update on the progress of the discussions. I did mention the proposed name as that is known to everyone who has been reading the updates.

“In summary, both task forces are comprised of excellent individuals who faithfully represent our industry. I personally agree with their handling of this matter and support a merger.

As I also remember, you didn’t like World Association of Equipment Leasing nor the world logo, which was adopted. “…somewhere in the late 80’s I seem to recall, (then) WAEL held a strategic planning meeting and one of the items on the agenda was a possible name change to reflect our expansion. Might have been Woodley, Grohe or Jacobson, who suggested it, I just don’t recall, but of the names thrown into the ring might work well with a newly merged UAEL/EAEL.”

“I’m not talking about when we actually changed the name. I’m referring to an ad hoc strategic planning meeting when I was first in the chairs; that would put it at about 1990. Jon Bednerik (ex.vp) was still with us, and Bob Jacobson chaired the event as I recall. Swander was there, several past presidents, and then-current board members. We were tossing about a bunch of names and WAFEL was one that came up and got a few laughs. Though I don’t think anyone was really serious about it, it actually did get into the vote.”

“I think that was also when Bill Grohe introduced the SIG concept and following “tracks” at our conferences. You can check with him.”

    1814- Mary Ellen "Mammy" Pleasant birthday - Afro-American activist. She is often called the mother of black civil rights in California. Much of her life is clouded in legend which says that she freed slaves who were being held illegally in free California. She worked to win the rights at African Americans to have their testimony accepted in court (1863) and helped to end discrimination on California streetcars with Pleasant v North Beach and Mission Railroad Company (January 1868). Her civil rights actions are part of the black folklore of California in which some claim she worked as a stop on the underground railway before moving to California while others say she helped financed John Brown's raid on Harper's Ferry.

    1871-Birthday of Orville Wright, aviation pioneer, born at Dayton, OH, and died there January 30, 1948. There has been controversy as to who launched the first air plane flight in the United States, but he certainly is the one he made flying famous.
    1871- Florine Stettheimer birthday - U.S. artist. After failing to sell a single painting in her first showing, she never offered for sale a single painting in her lifetime although in her maturity, her work was sought after. At her death, her sister Ettie mounted a memorial show at the Museum of Modern Art that received rave reviews and Columbia University established a room for her work. Her refusal to sell was backed by a substantial fortune which she shared with her two sisters. At an early age, the three sisters decided they would never marry (forming what has been called a "cult of virginity" and do creative things. One sister became a novelist under the name "Henrie Waste." The sisters were described by contemporaries as having "exquisite taste." They opened the memorable Stettheimer gallery which drew many of the top artists of the day. The sisters themselves were works of art as they dressed in old-fashioned Bohemian styles.

    1883-Birthday of 1883, Coco Gabrielle Chanel - French dress designer. The Museum of Modern Art in New York has a full showing of her “work” which is fascinating to view, including jewelry and perfume bottles. Coco Chanel was the preeminent Parisian haute couture and premier arbitrator of western women's fashions for almost six decades. Coco Chanel almost single-handed changed women's wardrobes from works of architectural wonders to clothes that allow a woman to move. Her clothes were first designed for working girls, but soon wealthy women flocked to her small shop to find the clothes that freed them from the abusive corsets. Chanel, for the first time in history, presented women with clothing that fit a woman's body and did not force a woman to fit her designs. She was also one of the first women to make it big in the women's fashion industry. She presented bobbed hair, trench coats, jersey dresses, sweaters, bell-bottom slacks/trousers as well as the classic straight-line skirt as knee length with a boxy jacket that allowed freedom of motion. She retired in 1939 but came back in 1954 when Dior and others started a "romantic" fashion that threatened to return women's clothing to the turn of the century. She raised hems, introduced the chemise dress, the classic Chanel suit look we know today as a simple boxed jacket with a straight skirt with enough room to walk and climb, and, of course, the staple in every wardrobe, "the little black dress." In 1922 she developed a fragrance that is still one of the most highly sold fragrances in the world: Chanel #5. She was orphaned a age six. Her early years are obscure but there were no wealthy men behind her when she opened a small millinery shop in Paris in 1913 and within a very short time, her comfortable clothing had made her the rage of post World War I Paris. At her height, she employed 3,500! She was described by Vogue as "a revolutionist, a non-conformist, a lone rebel who let women out of the prison of tight corsets. She led women to cut their hair in the 1920's, raise hemlines, stripped away trimmings and feathers, and produced a simplicity that freed women." Coco Chanel said in a 1954 interview, "There are too many men in this business and they don't know how to make clothes for women. All this fantastic pinching and puffing. How can a woman wear a dress that's cut so she can't lift up her arm to pick up a telephone?" One of the most influential of women's clothing in America.
    1886 -The Christian Union was founded by Baptist clergyman Richard G. Spurling (1858-1935) in Monroe County, Tennessee. In 1923, this Pentecostal denomination changed its name to the Church of God. Headquartered today in Cleveland, Tennessee, its current membership is nearly 500,000.
    1893- Frank J. Wisner, owner of Cripple Creek Brewing, served the first “Black Cow” root beer float in Cripple Creek, CO.     1928- Canadian pop singer Norman Brooks was born in Montreal. He is best known for singing in the style of Al Jolson. Brooks played Jolson in the 1956 film "The Best Things in Life Are Free," and also starred in "The Magic of Jolson" on Broadway in 1975. His 1953 recording of "Hello Sunshine" was a substantial hit.
    1934- Roberto Walker Clemente, Baseball Hall of Fame outfielder born at Carolina, Puerto Rico. Clemente, one of the game's best and most exciting outfielders, played his entire career with the Pittsburgh Pirates, lead­ing them to a World Series in 1971 and collecting 3,000 hits. While on a mission of mercy to deliver supplies to victims of a Nicaraguan earthquake, he perished in a plane crash.     1942- First offensive action in the Guadalcanal where J.F.Junkin, Army air pilot, shoots down a German flown aircraft ( allies of the Japanese ) in the Solomon Islands, after Carlson's Raiders, a special guerrilla unit led by Lt. Col. Evans Fordyce Carlson, landed on Makin Island, at the northern end of the Gilbert Islands, with orders to destroy the radio station on the island. In 40 hours, every Japanese member of a force of 350 was killed, 1000 gallons of gasoline were set aflame, and the island was rendered militarily useless.
    1943- singer Billy J. Kramer, whose real name is William Ashton, was born in Bootle, England. It was Beatles' manager Brian Epstein who brought Kramer together with a Manchester band, the Dakotas, and introduced them to the songs of John Lennon and Paul McCartney. Billy J. Kramer and the Dakotas had their first hit in 1963 with Lennon and McCartney's "Do You Want to Know a Secret." Kramer's other chart records included "Little Children" and "Trains and Boats and Planes." Kramer and the Dakotas parted company in 1966, with Kramer turning to performing in small English clubs.

    1986 - The temperature at San Antonio, TX, soared to an all-time record high of 108 degrees
    1987 - It was on this day that consumer reporter David Horowitz was held at gunpoint on camera. During a KNBC-TV newscast in Burbank, CA, Horowitz was forced to read the assailant's rambling note. The news director took the program off the air until police could get the gunman off the set. Horowitz was unharmed.
    1988 - Raleigh, NC, reported a record hot temperature reading of 103 degrees. Afternoon thunderstorms in Oklahoma produced wind gusts to 75 mph in southern Pittsburgh County. Thunderstorms in Indiana produced 4.50 inches of rain at Morgantown
    1990- White Sox Bobby Thigpen records his 40th save as the Chicago White Sox beat the Rangers, 4-2. He becomes the only eighth reliever to reach this milestone in major league history.
    1991 - Hurricane Bob was located 30-35 miles east of Cape Hatteras NC, and was at its peak intensity of 115 mph. Damage from Bob was estimated at $1.5 billion, making it the 15th most costly hurricane in U.S. History. A total of 18 people died in the storm: six in Connecticut, three in both New York and Maine, two in both Nova Scotia and New Hampshire, and one in both North and South Carolina.
    1992 -When Mariner second baseman Bret Boone, the grandson of Ray Boone (1948-60) and son of Bob Boone (1972-90) makes a start against the Orioles, he becomes part of the first three-generation family to play in the major leagues.
    1992-- IBM and Sears, Roebuck & Co. announce they are working together to create a voice-and-data network service called "Advantis." The two companies had already been working together since the mid-1980s to create the online service Prodigy. With their entry into Internet provider services, the companies expected to generate at least $1 billion a year in revenue.
