Good News/Bad News: ICB/Sovereign Bank Merger

"You should look into the ICB & Sovereign Bank merger. It appears that Sovereign is closing down Ira Romoff's group. A lot of talented people will be let go by month end. It's a real shame. Although a little over a year old, ICB Leasing Corp. was developing into a real good funding source."

Ira Z. Romoff, Director of Leasing, ICB Leasing Corporation, New York City, confirmed the consolidation.

"I can't tell you when or how many will be let go," he said. "The consolidation will be to the Melville, Long Island office of Sovereign. You should be speaking with Chris Swanton, Executive V.P. of Sovereign Leasing at his Boston office."

"They have a very active leasing company with a lot of money, particularly with the capital from Santander bank in Spain."

October 24th , 2005 when Sovereign Bank made the announcement of the agreement to acquire Independence Community Bank Corp. of Brooklyn, New York for $42 per share in cash, they also announced that Banco Santander Central Hispano, S.A. of Madrid, Spain had agreed to make a $2.4 billion minority investment in Sovereign, by agreeing to purchase shares from Sovereign at $27 per share, "a significant premium over market," said Jay Sidhu, chairman, president and CEO of Sovereign. "As a result of this purchase, Santander will own 19.8% of Sovereign's stock and the proceeds of this investment will facilitate our acquisition of Independence."

"Sovereign Bank is a $63 billion financial institution with more than 650 community banking offices, over 1,000 ATMs, and approximately 10,000 team members, with principal markets in the Northeast United States. Sovereign is the 18th largest banking institution in the United States."

Sovereign Bank has recently also been in the news, with this press release on March 22, 2006: " Sovereign Bancorp, Inc. (NYSE: SOV) and Relational Investors LLC, Sovereign's largest shareholder, announced that they have agreed to settle all their outstanding differences, to work together to build a better bank for Sovereign's shareholders and other constituencies, and to add two new directors to Sovereign's board."

In Mr. Romoff's April newsletter that was reported in Leasing News on April 5th, he stated, "Our goal is to create a larger, stronger and more diverse leasing company by consolidating the ICB Leasing business into Sovereign Bank's Commercial Equipment and Vehicle Finance platform. The combined entity can offer a wide range of Leasing and Equipment Finance products and will have a combined portfolio of over $1.2 billion. Our intent is to continue to provide you with the outstanding level of service that you expect and deserve. We are doing our best to make this a smooth process and will keep you updated as this transition continues.

"There will, of course, be some changes. I plan to stay as long as needed, but will not be involved in the long run with the ongoing entity."

When asked directly if he was going to retire again, he said, "I can't tell you when." When asked six months or twelve months, he responded, "Not a year, sooner," and then with a laugh, added,

"Don't worry, I won't go into the business of sending out an equipment leasing newsletter."

He again directed to speak with Chris Swanton at the Boston headquarters of the leasing operation. A call was made, but it was Good Friday.

Who is Ira Romoff? He has over 30 years in the financial services industry, as a commercial banker and leasing executive. He is past director of the Eastern Association of Equipment Lessors and the Equipment Leasing Association and is a member of both the United Association of Equipment Leasing and the National Vehicle Leasing Association.

He was executive vice president of European American Bank's Leasing Department and a member of EAB's Executive Management Group. Under Mr. Romoff's direction, the EAB Leasing Department has advanced as an integral part of the bank's record growth since 1991. As a result, EAB's Leasing Department ranks among the top fifteen bank leasing companies throughout the United States.

EAB purchased Fidelity Leasing April 14, 2000, and was the premier lessor when purchased by Citibank on February 12, 2001 for $1.6 billion and $350 million preferred stock. The news of closing the broker origination division hit all the leasing industry hard, especially on the east coast. Reaction was swift about the resignation of European American President Ira Romoff; the eminent departure by Fred Anderson along with Omar Diaz and Rich Illich.

August 18, 2004, he announced to Leasing News, he was back in business:

"WE WILL BE DRIVEN BY COMMON SENSE, NOT SILLY RULES. CREDIT AND COLLATERAL WILL COUNT, BUT SO WILL THE INTEGRITY OF THE LESSEE, LESSOR AND VENDOR.

"WE WILL SUPPORT OUR LESSORS WITH DIRECT CREDIT LINES WHEN NEEDED, PARTIAL AND FULL RECOURSE STRATEGIES AND NON RECOURSE FUNDING.

"WHILE OUR PRIMARY GOAL WILL BE TO BUILD A SOLID BANK LEASING OPERATION AS I HAVE DONE IN THE PAST, OUR METHOD WILL INCLUDE STRENGTHENING OUR LESSORS SO THAT THEIR FRANCHISE VALUES WILL GROW OVER TIME. THIS VALUE ADDED FOR OUR LESSORS WILL DIFFERENTIATE US FROM THE PACK."

Certainly the ICB Leasing and Sovereign merger was not foreseen, and perhaps there will be a covenant not to compete, but at a certain date, Leasing News will most likely be receiving another announcement from the energetic veteran with a great sense of humor.

Six Year Anniversary of Leasing News "Archives"

April 17, 2000, the first Leasing News story is archived. This e-mail series started in 1988 to leasing industry colleagues of Kit Menkin, managing partner of American Leasing, a small lessor/broker, specializing in business in the California "Silicon Valley." Over the years, as more joined the World Wide Web, the e-mail "report" grew from an occasional issue, to several times a month, then weekly.

When the mailing list reached over 500, it was more like an early "list serve," including press releases and other news, almost every day in a text format. Perhaps it was close to what today is called a "blog."

The e-mail newsletter became a website to read in html instead of text in 1999.

At the turn of the millennium, 2000, when the newsletter mailing list went over 3,000, other issues came about, such as costs and liability.

April 17, 2000, an archive of editions was put on line. Prior to this date, the "reports" were never saved, but deleted.

June 21, 2000 Leasing News was incorporated with an Advisory Board to give further direction.

Originally a California afternoon edition, it was changed to early morning (actually sent out around 2:30am, PDT.) The change in time was to serve the East Coast, plus Europe and parts of Asia during the current day." Our Web Trend reports we have many who open the edition starting at 6:00am, EDT. Surprisingly Web Trend notes we have many West Coast readers opening the newsletter at this time, too.

Why I became a CLP

This is the fifth in a series about the Certified Lease Professional program, explaining why individuals decided to become a CLP, the process, and their reaction to the knowledge and other benefits gained.

"Three equipment leasing associations support the Certified Leasing Foundation by promoting the CLP Program to their members," Cindy Spurdle, Executive Director explains. "Each of the associations appoint two of their member CLP's to serve on our Board of Directors each year, so information can flow freely back and forth. They also invite the Foundation to exhibit at their annual conferences each year. This year the Foundation will hold either a one-day CLP Class, an Introduction to the CLP Program Workshop or both at the annual conferences. We are often invited to take part in regional events.

"All three of the associations wholeheartedly support our mission to raise the professional standards of our industry through testing and continued education."

The first to respond was Paul Nibarger. Well-known in the equipment leasing industry, he also supplied Leasing News with his collection of leasing news magazines from the 1970's, which completed the Leasing News library collection. There were also records and handouts from the many leasing conferences Mr. Nibarger attended ( we had over six large boxes) in his thirty-three years in business.

"In 1992, Steve Dunham of Leasing Associates and I were the only two west coast representatives at the NAELB meeting in Atlanta," he said as explaining his role as a director. " Since then, I've watched the organization grow from its regional roots to a national organization. In 1995, our firm became a member of NAELB

"The NAELB motto, 'Success by Association' is most appropriate. I've profited financially as well as intellectually from my association with NAELB. Perhaps the most important benefit of association is that of the strong encouragement within NAELB to practice high standards of personal and professional conduct with our funding sources and fellow brokers and their long time support of the Certified Lease Professional ('CLP') program.

"I remember the stirring challenge at the 1996 NAELB annual meeting to become a CLP. Several CLP's put on an overview of the CLP program and the steps needed to obtain the CLP certification. While I had been in the leasing business since 1973 and had run the large ticket group for a major bank, had been a lessee/lessor advisor and purchased numerous portfolios of leases and loans for our own account, I was nevertheless intrigued by what the NAELB was attempting to do in raising the ethical and professional level of the leasing community. I accepted the challenge, gained new knowledge and through UAEL became a CLP in 1997. I've subsequently become a "mentor" and enjoy being able to give back to my profession.

"A continuing hallmark of NAELB has been this promotion of ethical professionalism in the leasing community and being a strong supporter of the CLP program. At NAELB's 15th Annual Conference (April 20-22, 2006, Hilton Hotel, Minneapolis, MN) on Thursday, April 20th there will be an all day CLP Review. This comprehensive eight-hour program will be taught by CLP's and provides an in-depth review of some of the tougher subjects in equipment leasing: lease classification and terminology, leasing law, documentation and collection, math of leasing and accounting for leases. There is no additional cost for the class."

"The NAELB is a strong supporter of the CLP Foundation," said Heather von Bargen, the association's president." As you know, we provide the CLP Foundation with booth space at our annual and regional conferences, in addition to meeting room space for review classes and testing. We also promote their products, services, and involvement to our members and prospects.

"We recognize our members with CLP designations at conferences and award their plaques.

This Day in American History

    1693-Birthday of Mary Spratt Provoost Alexander - Dutch colonial (born New York City) merchant. Although much of MSPA's life is not fully documented, this remarkable woman had 10 children, two husbands, and built a trading empire of stores in New York City for which "she imported goods so extensively that it was said hardly a ship arrived in New York without a consignment for her." The Dutch women colonists had a tradition of merchandising and trade. At least one actually traveled with her goods between European ports and New York city. The couple built a magnificent mansion and lived well. Their wealth, in today's dollars, would have made them millionaires. Many of her children lived extraordinary lives in commerce and trade as well as becoming involved in civic matters. According to Nichola Varga who studied MSA's life, the "most extensive account of Mary Alexander s life is in Mrs. John King Van Rensselaer, The Goede Vrouw of Mana-ha-ta (1898), a book professedly based on family traditions and records."
    1704-the first successful newspaper was the Boston News-Letter. the editor was John Campbell, a New England postmaster, who earned the distinction of being America's first vendor of news. It was printed by Bartholonew Green in a back room of his home in Boston, MA. the page size was 7.5 by 12.5 inches. The text was set in small pica type. The paper was without competition for 15 years and reached a circulation of 300 copies. (Not many people in the colonies had the ability to read.)

    1860-fire escapes for tenements were required by New York State. The law was passed in the aftermath of a serious fire in Elm Street, New York City, in which 20 persons were suffocated or burned to death.
    1864- There were an average of 7,333 desertions a month from the Union army. Many desertions were the result of bounty jumpers - men who would collect bounty to enlist, then desert and do it again elsewhere. The US government spent $300 million dollars on bounties while state and local governments spent about the same.
    1865 -- Mary Surratt is arrested as a conspirator in Lincoln's assassination. Mary Surratt, boardinghouse owner, was charged with conspiring with Booth, "keeping the nest that hatched the egg," & running errands for Booth that facilitated his escape. It was alleged that Booth used her boardinghouse to meet with his co- conspirators. Mrs. Surratt was found guilty & was hanged on July 7, 1865.

    1921-- One of the great draws of the early air shows were the stunt walkers. Many of them were women because it aroused men and newspaper men more to see women doing such things. One such woman was Phoebe Fairgrave who had dreamed of flying in high school. She wing walked and made parachute jumps, On 04-17-1921 Phoebe took her first parachute jump winding up in a tree, dangling unhurt. Within a few month she set a new world's record for women jumpers by parachuting from a plane at 15,200 feet. Then she developed the trick of cutting off her first parachute, then free falling before deploying her second chute - a real crowd pleasers that made her one of the most popular attractions in the country. Popular, smart, and ambitious, Phoebe formed her own organization, The Phoebe Fairgrave Flying Circus. She soon married Vernon Omlie, the pilot who had taught her to fly. Together they continued to barnstorm until they'd raised enough money to form their own flying school and broadened into the aviation business, Mid-South Airways in Memphis, Tennessee.

    1949- "The Fred Waring Show" premiered on television this day in 1949. Fed Waring was leader of the big band called the Pennsylvanians, which featured about 65 musicians and singers. The show was produced on Sunday nights until 1954. Fred Waring was one of the first to promote living in Palm Springs and his name is prominent on many streets and structures today. Waring and his Pennsylvanians had just finished one of their radio broadcasts in Manhattan's Vanderbilt's Theatre, when he was visited by promoter Fred Osius looking for a backer to produce and market a new type of mixer which he claimed would revolutionize people's eating habits.     1950- Tony Bennett made his first recording, "Boulevard of Broken Dreams." Bennett had used the song, revived from the 1934 movie "Moulin Rouge," to audition for Columbia Records.     1955-Fats Domino's "Ain't That a Shame," which Billboard erroneously lists for months as "Ain't It a Shame," is released on Commodore Records.
    1956-Willie Mosconi of Philadelphia, PA, ran 150 balls at Kinston, NC, following the break by Jimmy Moore of Albuquerque, NB, who played a safety show. He won the match in the first inning. Mosconi won each of his 14 matches and scored at 150-0 victory in the final match of the world pocket billiards tournament.
    1956 - Two of the greats began their major-league baseball careers this day: Luis Aparicio played for the Chicago White Sox and Don Drysdale began work with the Brooklyn (later, LA) Dodgers. Aparicio became the American League Rookie of the Year. Drysdale won 209 games before he retired. Both were inducted into the Baseball Hall of Fame in Cooperstown, NY on the same day, August 12, 1984. Drysdale later became a broadcaster for the Chicago White Sox and the Dodgers.

    1957- New York Governor Averall Harriman signed the first installment sales law to place a limit on credit service charges, requiring all charges to be clearly itemized and prohibited fine print in the contracts. Prior to this there were no laws enacted to protect consumers.
    1961-In what came to be called the Bay of Pigs invasion, some 1500 anti-Castro Cuban exiles landed at the Bay of Cochinos in Cuba. Organized by the US.-based National Revolutionary Council and trained by the CIA, the force enjoyed initial success but collapsed within a few days because of inadequate supplies, lack of air support, and overwhelming opposing forces. On April 24, President John F. Kennedy stated he accepted full responsibility of the failure of the invasion.
    1961 - The 33rd Annual Academy Awards ceremony was held at the Santa Monica Civic Auditorium, hosted by Bob Hope, ended the ten year drought during which the late producer, writer, director Billy Wilder could not capture the elusive Oscar. The late Billy Wilder was no stranger to Oscar. He had won three before. This year he not only received the Oscar for Best Writing/Story and Screenplay/Written Directly for the Screen (shared with I.A.L. Diamond), but the Best Director Oscar (both for "The Apartment"). He and "The Apartment" also received the top award, Best Picture. Burt Lancaster took the Best Actor honors and Shirley Jones, the Best Supporting Actress, for their performances in "Elmer Gantry". Elizabeth Taylor was voted Best Actress for her role in "Butterfield 8". "Spartacus", nominated in six categories, won four Oscars, including one for Peter Ustinov as Best Actor in a Supporting Role. The Best Music/Song was awarded to "Never on Sunday" and Manos Hadjidakis from the foreign flick: "Pote tin Kyriaki". Other movies this year included: "Sons and Lovers", "The Alamo", "The Time Machine", "Exodus".     1964-the Rolling Stones' first album was released in Britain. It sold more than 200,000 copies and topped the British chart for 12 weeks.
    1965 - The Mississippi River reached a flood crest at Saint Paul MN four feet higher than any previous mark. During the next two weeks record levels were reached along the Mississippi between Saint Paul and Hannibal MO. Flooding caused more than 100 million dollars damage, but timely warnings kept the death toll down to just twelve persons.
    1967 - Comedian Joey Bishop tried the "Tonight Show: on ABC, opposite Johnny Carson, who never forgave him. "Who Wants to Be a Millionaire" Regis Philbin was the announcer, Johnny Mann did the music. The show lasted until December 26, 1969. Bishop, by the way, is the lone survivor of the famous "Rat Pack" headed by the late Frank Sinatra.

    1971 - Joy to the World, by Three Dog Night, made it to the top of the pop music charts on this day. The song as number one for six weeks. Now that's a hit! 1972- Betcha by Golly, Wow, by The Stylistics from Philadelphia, earned a gold record for the group. The Stylistics also scored million sellers with You Are Everything, I'm Stone in Love with You, Break Up to Make Up and You Make Me Feel Brand New.
    1971-The Doors' "Love Her Madly" is released.
    1971-Carly Simon's "That's The Way I've Always Heard It Should Be" is released.
    1975-Mike Schmidt of the Philadelphia Phillies became the first National League player since Bobby Lowe in 1894 to hit four home runs in consecutive at-bats in the same game. Schmidt's feat came against the Chicago Cubs in an 18-16, 10-9inning Phillies win. Schmidt connected twice off Rick Reuschel, once of Rick's brother Phil and once off Darold Knowles. He added a single and totaled eight RBIs as Philadelphia came back form a 13-2 deficit.
    1976-Veteran jazz guitarist George Benson's album "Breezin'" enters the album chart. It will go on to become one of the best-selling jazz albums of all time. The albums goes gold on June 4 and platinum on August 10.

    1985 - The U.S. Postal Service unveiled its new 22-cent "LOVE" stamp. In a clever promotion, the USPS used the set of ABC-TV's "The Love Boat" as a backdrop. The stamp went on to become one of the most popular ever offered by the postal service.
    1987-Julius Erving of the Philadelphia 76ers scored 38 points to join Wilt Chamberlain and Kareem Abdul-Jabbar in the NBA's 30,000 point club.
